Constitution

Name:


The Region shall be known as the “Wales Region of the Association for Clinical Biochemistry".


Territorial Limits:

The territorial limits of the Region shall be co-terminus with the national boundaries of Wales.


Membership of the Region:

a) All Ordinary, Affiliate, Emeritus, Honorary and Retired members holding an appointment in the Region or, if retired, resident therein, shall be members of the Region; which shall be their Home Region.


b) Ordinary and Affiliate members assigned to another Region (their Home Region) may apply for or be invited to membership of the Wales Region and shall be deemed Extra-territorial members. Extra-territorial members shall remain members of their Home Region but if elected to extra-territorial membership of the Wales Region by a simple majority at a general meeting of the Host Region, they shall be eligible to hold office with the Wales Region. An Extra-territorial member may not represent the Wales Region on the Council or Regulating Committee.


Management of the Region:


The affairs of the Region shall be managed by a committee comprising of:


Chair
Secretary
Treasurer
Meeting Secretary

Regional Tutor
Regional Representative to Council
Regional Representative to the Federation of Clinical Scientists
Regional Representative of Trainees Committee
Four Ordinary Members


Any Officer of the committee may also undertake the duties of a Regional Representative (eg Chair and Regional Representative to Council).

The maximum period of continuous membership of the Committee shall be seven years.

Five members shall constitute a quorum for the Committee.


The Committee may co-opt additional members provided the total size of Committee does not exceed twelve members.

The Committee may appoint sub-committees. The co-option of members and the appointment of sub-committees shall be reported at the next General Meeting.

Election of Officers:


The Chair shall be elected at the Annual General Meeting for a period of two years which may be extended to three years at the discretion of the Committee and shall not then be eligible for re-election for a period of two years. The Secretary shall be elected at the Annual General Meeting for a period of two years and shall be eligible for re-election for a further two years. On completion of his/her period of office the Secretary shall not be eligible for re-election for two years. The Treasurer and Meeting Secretary shall be elected annually at the Annual General Meeting for a maximum of three years.

Election of Regular Committee Members:


Regular Committee Members shall be elected at the Annual General Meeting following the defined nomination and election procedure, for a period of three years and shall not be eligible for immediate re-election as Regular Committee Members for a period of two years.


Regular Committee Members shall retire after service of less than three years at such times as deemed necessary by the Committee.


Election of Regional Representatives:


The election and term of office of the Regional Representative to Council of the Wales Region will be in accordance with the Articles of Association of the Association. The Regional Representatives shall be elected by secret ballot to be conducted by the Committee and the results ascertained at a Regional meeting, by two tellers appointed by the meeting.


A Regional representative to the Federation of Clinical Scientists will be elected at the Annual General Meeting. All members of the Region are eligible for nomination to, and to vote for the Federation Representative. There is no maximum term of office for the Representative to the Federation of Clinical Scientists.


A Regional Tutor shall be a co-opted member of the Region Committee.


Casual Vacancies:


The Committee may appoint any member of the Region to fill a casual vacancy or for a special office. In the event of two vacancies occurring during the year, an election shall be held by postal ballot Any member so appointed shall remain in office until the next Annual General Meeting, but shall be eligible for re-election.


Nominations and Voting:


Members of the Region shall be eligible for nomination and to vote for the Chairman, Secretary, Treasurer, Meetings Secretary, Regular Committee Members and the Regional Representative. Ordinary members of the Association who are members of the Region shall be eligible for nomination and to vote for the Regional Representative to the Council. Nominations signed by the proposer and seconder, accompanied with a statement signed by the candidate indicating willingness to stand for office, must be received by the Secretary fourteen days prior to the Annual General Meeting. When a ballot is necessary the meeting shall appoint two scrutinisers. In the event of a tie, the Chairman shall have a second or casting vote.


Meetings:


There shall be at least two scientific meetings of the Region during the year. Any member shall be allowed to introduce visitors who may join the discussion of scientific papers presented before the Region.


Two committee meetings will be held during the year to discuss the business of the Region. Additional committee meetings may be held at the discretion of the Chair.


Annual General Meeting:


The Annual General Meeting shall be the first meeting of the new financial year. The meeting will be held at such a time and place as the Committee shall decide, to receive the Report of the Region and the Financial Statement for the preceding year; to elect members of the Committee and to transact any necessary business. Not less than twenty-one days notice of the meeting shall be given to each member, such notice to include a statement of the business to be transacted.


Attendance at the AGM is restricted to members of the Region with the exception of guest speakers invited by the committee.
A quorum at the AGM is 10 members.


Special General Meeting:


A Special General Meeting may be called at any time by a request in writing to the Secretary, signed by not less than five members of the Region. The request shall specify the reason for calling the meeting and no other business shall be discussed at the meeting. A Special General Meeting may also be called by resolution of the Committee. In both cases not less than fourteen days notice of the meeting shall be given to each member, and the notice must state the business which is to be discussed.


Communications:


The Committee may receive communications from persons not members of the Association and allow them to be read before a meeting.


Duties of the Secretary:

a) To keep correct minutes of all proceedings at meetings of the Region and of the Committee for approval.

b) To prepare an Annual Report on the activities of the region and present it to the Annual General Meeting.

c) To organise for nominations and postal ballots as required for elections to the committee.

d) To liase with the Secretary of the Association as and when required.


Duties of the Treasurer:

a) To present an Annual Statement of Accounts and Balance Sheet to each Annual General Meeting. The accounts shall be audited by an ordinary member of the Association, being a member of the Region, elected at a business meeting of the Region. The financial year shall end on 31st December.

b) To be responsible to the extent of funds in hand for the payment of accounts sanctioned by the Chairman.


Duties of the Meetings Secretary:

a) To liase with the Meetings Secretary of the Association.

b) To publicise nationally and regionally meetings of the Wales Region and in particular to liase with his/her counterpart in neighbouring regions of the Association.


Alteration of the Rules:


Any matter concerning the Region not provided for in the Rules shall be dealt with by the Committee. No alterations to the Rules shall be made except at the Annual or Special General Meeting, and notice of any proposed alteration shall be given by the Secretary at least fourteen days before any such meeting and shall be inserted in the notice convening the meeting.


Affiliation of other Organisations:


The Region, the Committee or any section of the Region shall not affiliate to any organisation without first obtaining the approval of Council.
